This Fee Schedule is incorporated by reference and governed by the Employer Terms of Service, which contains explanations of defined terms.
Once we have accepted the registration of an Employer, the Employer will be able to make Interview Requests and contact (through the Services) Candidates listed on the Showcase. If a Candidate identified through our Services accepts a Job Offer from you within twelve (12) months of the date on which the Employer first viewed the Candidate through the Services, regardless of whether the Candidate accepted an Interview Request, the Employer will be charged a success fee (the “Success Fee”), which equals 15% of such Candidate’s first year base salary to be paid within fifteen (15) days of the Candidate’s start date. All state and local sales, use, excise, value-added, privilege and/or similar taxes applicable to the Success Fee will be invoiced as a separate item.
If we determine that an Employer has circumvented our Site and/or Services after discovering a Candidate through our Site or Service and subsequently hired that Candidate within twelve (12) months of the date on which the Employer first viewed the Candidate through the Services, we will promptly notify such Employer of such circumvention and provide Employer with thirty (30) days to provide us with reasonable documentation identifying that such Employer was involved in an Active Recruiting Process with such Candidate prior to contacting such Candidate through our Site or Service. In the event Employer is unable to provide us with such documentation, we will invoice Employer for, and the Employer will pay, a Success Fee equal to 25% of the first year base salary of the prospective employee Candidate or first year contractor Candidate compensation, as applicable and Vettery may, in its sole discretion, terminate the Employer’s account.
We may use a third party payment vendor (“Third-Party Payment Vendor”) to process your payment of the fees described under this Fee Schedule (the “Fees”).
Vettery reserves the right, in its sole discretion, to make changes to any of the Fees and/or begin charging additional fees at any time, either immediately upon posting on the Site or by email delivery to you.
A. CONTRACTOR ENGAGEMENT FEES
In the case of a Candidate hired on a contractor basis or a term that is intended to be temporary (“Contractor Engagement”) within twelve (12) months of the date on which you first viewed the Candidate through the Services, you may inform Vettery in advance of such, and if approved by Vettery in writing as qualifying as a temporary engagement, then the following fees will apply in lieu of the standard Success Fee (the “Contractor Engagement Fee”). Note if you have a written premium, subscription, or other agreement in place with Vettery that specifies other pricing terms when it comes to Contractor Engagements, such other written agreement will prevail over these terms.In the United States
Adia Solutions, LLC (“Agency”) manages all Contractor Engagements made through Vettery. Agency operates as the employer of record for all contractor Candidates when made through Vettery. Agency shall be responsible for all contractor Candidate compensation, including, but not limited to, if applicable, payroll and payroll taxes, worker’s compensation and unemployment insurance, and health insurance. Employer will not pay contractor Candidate directly when they are payrolled by Agency.
In addition to the above fees, in the event that a Contractor Engagement results in the contractor Candidate accepting a non-temporary Job Offer, the Employer shall pay a conversion success fee equal to 15% of the prospective employee Candidate’s first year base salary (the “Conversion Success Fee”). However, for Contractor Engagements where you or your own non-Adia vendor onboarded and paid the Candidate prior to conversion of the Candidate to a non-temporary job, you will be entitled to a credit of up to $4,500 based on the fees you paid to date to Vettery in connection with such Candidate’s Contractor Engagement with you. For Contractor Engagements where Adia onboarded and paid the Candidate on assignment with you prior to your conversion of the Candidate to your payroll, you will be entitled to a credit of up to $2,000 based on the fees you paid to date to Vettery in connection with such Candidate’s Contractor Engagement with you. The Conversion Success Fee is in addition to any fees earned for the Contractor Engagement and shall be due and payable within fifteen (15) days after such Candidate’s start date/conversion.
Timekeeping - Employer shall approve all electronic timesheets submitted by contractor within twenty-four (24) hours of the agreed approval time. It is understood and agreed that Employer’s failure to edit, dispute or correct a timesheet within twenty-four (24) hours of the approval deadline shall constitute approval of that timesheet and agreement to pay for the time reported.
Outside the United States:
In Ontario, the Conversion Success Fee is waived after six (6) months of fees employment.
B. SUBSCRIPTION AGREEMENT FEES
Employers accepted into our subscription program will be charged a subscription fee as outlined in their Subscription Agreement for the agreed upon term length (the “Subscription Period”). The fee for subscriptions (the “Subscription Fee”) amount shall be due and payable as set forth in the Subscription Agreement. All state and local sales, use, excise, value-added, privilege and/or similar taxes applicable to the Subscription Fee will be invoiced as a separate item. During the Subscription Period, the Employer will be able to view Candidates, send Interview Requests, contact Candidates (through the Services) and extend Job Offers to Candidates through the Services. Unless otherwise agreed to in writing by Employer and Vettery in such Subscription Agreement, all Job Offers (with the exception of Contractor Engagements) accepted within the Subscription Period will be subject to no additional fees beyond the fee outlined in your Subscription Agreement. Employers who purchase our Services on a subscription basis (“Subscription Employers”) are required to promptly notify Vettery upon a Candidate acceptance of a Job Offer together with the key terms of such Job Offer, including start date for such Candidate (including prompt notification of any subsequent changes in such start date.) Subscription Employers shall provide Vettery with a copy of a fully executed Job Offer. In the event that before the start date, either the Subscription Employer or Candidate elect not to begin the employment relationship contemplated by the Job Offer, the Subscription Employer shall promptly notify Vettery thereof. For the avoidance of doubt, standard Success Fees will apply in the event a Subscription Employer hires a Candidate (a) outside of its Subscription Period, or (b) that is in a category outside of such Employer’s Subscription Agreement.
If you do not agree with any of the provisions of this Agreement, please terminate your account immediately and cease using Vettery. YOUR OBLIGATION TO PAY ANY SUCCESS FEES SHALL SURVIVE ANY TERMINATION OF THIS AGREEMENT.
An Employer entering into a Subscription Agreement with Vettery may need to complete a Direct Debit Authorization Form allowing Vettery to withdraw, debit or charge monthly payments from the Employer’s designated bank or credit card account(s). By accepting Vettery’s Employer Terms of Service, Employer agrees that Vettery is authorized to immediately withdraw Subscription Fees due and payable to Vettery hereunder from Employer’s account and that no additional notice or consent is required. Employer agrees to immediately notify Vettery of any change in its billing address or any account information provided to Vettery used for payment hereunder.
